Terms of Service

Last updated · See also Privacy Policy

These terms are an agreement between SQUEEZEIT LLC, doing business as OrgSigs, 2250 Grand Ave, Baldwin, NY 11510, United States ("we", "us"), and the organization that signs up for WorkplaceSignatures at orgsigs.com ("Customer", "you"). The person who accepts these terms confirms they are authorized to bind the Customer. If you have a separately signed agreement with us, that agreement governs where it differs from these terms.

1. The service

WorkplaceSignatures builds and deploys email signatures from your directory (Google Workspace, Microsoft 365 or a SCIM identity provider), and provides the signature studio, templates, campaigns, analytics, the Outlook add-in and related features (the "Service"). We may improve and change the Service over time; we will not materially reduce its core functionality during a paid term without notice.

2. Accounts

You are responsible for your accounts, for keeping sign-in credentials secure and for everything done under them. Administrators you invite act on your behalf. Tell us promptly at hello@orgsigs.com if you suspect unauthorized access.

3. Your data

You keep all rights in the data you or your directory provide, including directory profiles, logos, templates and content ("Customer Data"). You give us permission to host, copy, process and display Customer Data only to provide, secure and support the Service. Our Privacy Policy explains how we handle personal information, including the Google API Services User Data Policy commitments.

You confirm that you have the rights and any notices or consents needed for us to process Customer Data, including your employees' directory information, and to put it in their email signatures.

4. Acceptable use

You will not, and will not let anyone else:

  • use the Service to send spam, phishing or unlawful content, or to impersonate anyone;
  • put content in signatures that infringes others' rights or is unlawful, deceptive or harmful;
  • try to access other customers' data, probe or bypass our security, or disrupt the Service;
  • reverse engineer the Service, except where the law allows it despite this restriction;
  • resell the Service or use it to build a competing product.

We may suspend access that breaks these rules or puts the Service or others at risk, and will tell you why where we can.

5. Fees

Paid plans are billed as described on the pricing page or in your order, and in the billing area of the app. Fees are exclusive of taxes unless stated otherwise. If a payment fails and is not resolved after notice, we may suspend the Service until it is.

6. Term, cancellation and deletion

These terms apply from sign-up until your workspace is cancelled. You can cancel at any time in the app. We may end these terms if you materially breach them and do not fix the breach within 30 days of notice, or immediately for serious misuse. After cancellation, Customer Data is deleted as described in the Privacy Policy; export anything you need first from Settings → General → Export data. Sections 3, 7 to 11 survive termination.

7. Intellectual property

We own the Service, its software, design and documentation. Signature templates you create are yours. Feedback you send us may be used freely to improve the Service.

8. Third-party services

The Service connects to Google, Microsoft, identity providers and email clients that you choose to use. Their terms govern your use of them, and we are not responsible for their availability or changes to their APIs.

9. Warranties and disclaimers

We will provide the Service with reasonable skill and care. Otherwise, the Service is provided "as is" and, to the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that every email client will display a signature exactly as designed.

10. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and each party's total liability arising out of these terms is limited to the amounts you paid us for the Service in the 12 months before the claim. These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law.

11. Indemnity

You will defend and indemnify us against third-party claims arising from Customer Data or your use of the Service in breach of these terms. We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual property rights.

12. Governing law

[To be confirmed: governing law and venue.] These terms are governed by the laws of [state or country], without regard to its conflict-of-law rules, and the courts of [venue] have exclusive jurisdiction over any dispute arising from them.

13. Changes to these terms

We may update these terms. We will post the new version here with a new date and, for material changes, tell workspace owners by email at least 30 days before they take effect. Continuing to use the Service after that means you accept the change.

14. General

These terms (with any order form and the Privacy Policy) are the entire agreement on this subject. If a provision is unenforceable, the rest stays in effect. Neither party may assign these terms without the other's consent, except to a successor in a merger or sale of its business. Neither party is liable for delays caused by events beyond its reasonable control. We may refer to you as a customer unless you ask us not to.
